Terms of Use

1. Introduction

These Terms govern your use of profitfirstprofessionals.ca and the services we provide through it. By using the site you agree to them. If you do not agree, please do not use the site.

In these Terms, "we", "us" and "PFCA" mean Profit First Professionals Canada Inc., a company incorporated in Ontario, Canada, with its registered office at 120 East Beaver Creek Road, Suite 200, Richmond Hill, ON L4B 4V1.

Separate terms apply to certification and membership. Where those conflict with these Terms, those terms govern the membership relationship.

2. Eligibility

You must be at least 18 and able to enter a binding contract. If you use the site for an organisation, you confirm you are authorised to bind it.

3. Licence to use the website

We grant you a personal, non-exclusive, non-transferable, revocable licence to access the site for your own business or professional purposes.

Everything on the site — text, graphics, logos, and the arrangement of it — is owned by us or our licensors and is protected by copyright and trade mark law. "Profit First" is used under licence. You may not copy, republish or create derivative works from our content without written permission, other than ordinary personal use and quotation with attribution.

4. Acceptable use

You agree not to:

• Use the site unlawfully, or to break any applicable regulation;
• Use the directory's contact facility to send advertising, solicitations, or bulk or automated messages — it exists so that a person who needs help can reach one professional, and using it for anything else is a misuse of both our service and our members' time;
• Harvest, scrape or systematically collect information about our members, whether by automated means or otherwise;
• Misrepresent who you are, or impersonate anyone;
• Attempt to gain unauthorised access to any part of the site, or interfere with its operation;
• Upload anything malicious, or anything unlawful, defamatory or harassing.

We may suspend or block access where we reasonably believe these Terms have been breached.

5. The directory and our members

Our directory lists independent professionals who hold a current Profit First Professionals Canada certification.

Certified professionals are independent businesses. They are not our employees, partners or agents, we do not supervise their work, and we are not party to any agreement you enter with them. Certification means a professional has completed our programme and holds a current membership. It is not a guarantee of any particular outcome, nor an endorsement of any specific advice they give you.

Choosing a professional, and satisfying yourself about their suitability, is your decision.

When you use "Get in Touch" on a listing, we pass your details to that member so they can contact you — see our Privacy Policy for exactly what is passed and what is withheld.

6. Your content

If you send us anything — an enquiry, an application, feedback — you keep ownership of it, and you grant us a licence to use it for the purpose you sent it for. You confirm you have the right to send it.

7. No professional advice

The content on this site is general information about the Profit First method. It is not accounting, tax, legal or financial advice, and it does not create a professional relationship between you and us. Your circumstances are specific to you; get advice from a qualified professional who knows them.

8. No warranties

The site is provided "as is" and "as available". To the extent the law allows, we make no warranties about it — including that it will be uninterrupted, error-free, or that any information on it is complete or current.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including under Ontario consumer protection legislation where it applies to you.

9. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special or consequential loss, or for lost profits, revenue, data or goodwill, arising from your use of the site.

Our total liability arising from your use of the site is limited to the greater of the amount you paid us in the twelve months before the claim, or CAD $100.

We are not liable for the acts or omissions of certified professionals, or for any agreement, advice or service between you and one of them.

10. Indemnity

You agree to indemnify us against claims, losses and reasonable legal costs arising from your breach of these Terms or your misuse of the site.

11. Third-party links

The site links to other websites we do not control. We are not responsible for their content or their privacy practices, and a link is not an endorsement.

12. Changes

We may change these Terms. The updated version takes effect when posted, and the date at the top will change. If you keep using the site after that, you accept the change.

13. Governing law and jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in it. The courts of Ontario have exclusive jurisdiction, and you consent to their venue.
